END-USER LICENSE AGREEMENT FOR ALTERSOURCING SOFTWARE

IMPORTANT-READ CAREFULLY: This AlterSourcing End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and AlterSourcing for accompanied AlterSourcing Controls .NET assembly, and associated printed materials, and may include "online" or electronic documentation ("SOFTWARE PRODUCT" or "SOFTWARE"). By installing, copying, or otherwise using the SOFTWARE PRODUCT, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install, copy, or use the SOFTWARE PRODUCT.

SOFTWARE PRODUCT LICENSE

The SOFTWARE PRODUCT is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The license granted to you is to use this SOFTWARE in accordance with the terms of this agreement only, not a sale.

1. GRANT OF LICENSE. This EULA grants you the following non-exclusive rights:

* Software Product. You are hereby granted a limited, royalty-free, non-exclusive right to use the SOFTWARE to design, develop, and test the computer software products, on the express condition that, and only for so long as, you fully comply with all terms and conditions of this EULA.

* SOFTWARE is licensed for use on a single computer. Install and use the SOFTWARE on a single development machine. You must purchase a separate license for each computer to use or otherwise access the programmatic interface or the SOFTWARE. You may remove SOFTWARE from one computer and reinstall it on another.

* You may distribute SOFTWARE only with your application provided that your product or application does not enable a user, programmer, or developer to develop/create/maintain a MS VS.NET application(s) that can be customized or further distributed. You may not distribute, bundle, wrap or subclass the SOFTWARE as your software which, when used in a "designtime" development environment, exposes the programmatic interface of the SOFTWARE.

* Sample Code. You may modify the sample code contained in the SOFTWARE PRODUCT's Demo Kit to design, develop, and test your applications. Sample Code is licensed to you as is. AlterSourcing does not and shall not provide you with any technical support for your Sample Code license. You may also reproduce and distribute the Sample Code in object code form along with any modifications you make to the Sample Code.

* Additional Distribution Requirements. In all cases, you (a) may not use AlterSourcing’s name, logo, or trademarks to market your application or product, except as expressly authorized by AlterSourcing in any other agreement; (b) agree to indemnify, hold harmless, and defend AlterSourcing, its suppliers and resellers, from and against any claims or lawsuits, including attorney's fees that may arise from the use or distribution of your application or product; (c) you may use the SOFTWARE only to create application or products that are significantly different than the SOFTWARE. AlterSourcing reserves all rights not expressly granted to you.

2. COPYRIGHT. All rights, title, and copyrights in and to the SOFTWARE PRODUCT (including, but not limited to, any images, and text incorporated into the SOFTWARE PRODUCT) and any copies of the SOFTWARE PRODUCT are owned by AlterSourcing.

3. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS.

* You may not reverse- engineer, decompile, or disassemble the SOFTWARE PRODUCT, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.

* The SOFTWARE PRODUCT may not be rented, leased, nor in any other manner commercially exploited without AlterSourcing’s prior written permission.

* Without prejudice to any other rights, AlterSourcing may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In such event, you must destroy all copies of the SOFTWARE PRODUCT and all of its component parts.

NO WARRANTIES. To the maximum extent permitted by applicable law, AlterSourcing expressly disclaims any warranty for the SOFTWARE PRODUCT. The SOFTWARE PRODUCT and any related documentation are provided "as is" without warranty of any kind, either express or implied, including, without limitation, the implied warranties of merchantability or fitness for a particular purpose. The entire risk arising out of use or performance of the SOFTWARE PRODUCT remains with you.

NO LIABILITY FOR CONSEQUENTIAL DAMAGES. To the maximum extent permitted by applicable law, in no event shall AlterSourcing or its suppliers be liable for any damages whatsoever (including, without limitation, damages for loss of business profit, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of, or inability to use, this AlterSourcing product, even if AlterSourcing has been advised of the possibility of such damages. Because some states/jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you.
